RANDBURG – The organisation undoing tax abuse\u00a0(OUTA)<\/a>\u00a0have laid corruption charges against the former Director of\u00a0Eskom<\/a>, Mark Pamensky<\/a>.<\/strong><\/p>\n<\/div>\n

\n

This comes after OUTA suspected that Pamensky abused his power at Eskom<\/a>.<\/strong><\/p>\n

The charges were laid at the Brooklyn Police Station<\/a>.<\/strong><\/p>\n

\u201cThe charges relate to Pamensky\u2019s conduct while he was a director of Eskom and of at least one business linked to the Gupta<\/a>‘s business empire”, says OUTA\u2019s Chief Operating Officer Ben Theron<\/a>.<\/p>\n

Pamensky was appointed to the Eskom board in December 2014 by Public Enterprises Minister<\/a> Lynne Brown<\/a> and served his term until 2016.<\/p>\n

In addition to serving on Eskom’s board, Pamensky was also a director of the Guptas\u2019\u00a0Oakbay Resources and Energy<\/a> until May 2017.<\/p>\n

His further senior positions extend to other Gupta businesses, namely: Shiva Uranium<\/a>.<\/p>\n

\u201cIn his role as non-executive board member of various companies, Pamensky was the conduit for the flow of privileged information between the companies,\u201d says Theron in his affidavit supporting the charges.<\/p>\n

According to OUTA, Pamensky failed to recuse himself from decisions in which he had a conflict of interest.<\/p>\n

This lead to questioning in his decisions, which may have led to favouring the Gupta businesses.<\/p>\n

This conduct is in breach by the Prevention and Combating of Corrupt Activities Act<\/a>, the Public Finance Management Act<\/a> and the Companies Act<\/a>.<\/p>\n

Pamensky\u2019s emails to the Guptas were inspected.<\/p>\n

His emails, of which are attached to the affidavit, show his eagerness for the Gupta group’s purchase\u00a0of Optimum Coal Holdings<\/a>, which received substantial assistance from Eskom.<\/p>\n

While a director of both Oakbay and Eskom in September 2015, Pamensky emailed five individuals, two of whom belong to the Gupta family: Atul Gupta<\/a> and Varun Gupta<\/a> (director of Shiva Uranium).<\/p>\n

His emails provided the recipients with Eskom\u2019s new procurement methods for coal.<\/p>\n

Pamensky’s further communication with the Gupta’s are recorded on various occasions during 2015.<\/p>\n

On 17 November 2015, Pamensky wrote to Atul Gupta and Tony Gupta<\/a> about Oakbay\u2019s \u201cpotential acquisition of Tegeta<\/a> which has a contract with Eskom. I sit on the Eskom board and this can be perceived to be a conflict\u201d.<\/p>\n

\u201cI don\u2019t believe there is any conflict whatsoever\u201d, implying that he was not involved in decisions at Eskom.<\/p>\n

On 24 November 2015, Pamensky wrote to Atul Gupta and others, asking for a discussion on \u201chow we going to manage this target company, including where are the accounts going to operate from\u201d.<\/p>\n

The following day, he wrote to Atul, asking to discuss the \u201cpotential law suit from Eskom\u201d.<\/p>\n

On 22 November 2015, Pamensky wrote to Atul and Tony Gupta, assuring that the Shiva Uranium board would be \u201csorted out\u201d within two days.<\/p>\n

\u201cThis will allow us to vote on the Tegeta acquisition with no related parties. I would like to conclude this approval urgently so ORE [Oakbay Resources & Exploration] and Shiva Uranium can implement the transaction”, he wrote.<\/p>\n

\u201cAs I\u2019m at the tail end of the main acquisition of Optimum Coal, please ensure that a condition precedent is that the R2bn claim from Eskom is withdrawn or it becomes the sellers problem. I\u2019m happy to assist with this acquisition\u2026\u201d<\/p>\n

On 3 December 2015, Pamensky wrote to Atul to offer advice and help to \u201cthe group\u201d and referred to weekly meetings at Atul\u2019s home.<\/p>\n

\u201cI know how good, generous, hospitable and respectful you guys are to people,\u201d he wrote to Atul in another email.<\/p>\n

On 10 December 2015, the Gupta-owned Tegeta Exploration & Resources<\/a> signed the deal to buy Optimum Coal Holdings (which owned Optimum Coal Mine, Optimum Coal Terminal<\/a> and Koornfontein Mines<\/a>) for R2.15bn.<\/p>\n

That same evening, Pamensky wrote to Atul, Tony and Varun Gupta:<\/p>\n

\u201cCongratulations (Mazeltov) on a brilliant and well-thought out, planned and strategised acquisition of the Optimum Group of companies. Well done and I\u2019m proud of you all.\u201d<\/p>\n

The Optimum deal was subject to Eskom\u2019s approval and involved Eskom making an advance payment of R659.6m to Tegeta and providing a R1.6bn guarantee to Tegeta.<\/p>\n

Glencore<\/a> also paid R400m to Optimum to cover bank debt.<\/p>\n

Eskom later reduced the fine to Optimum which had pushed Glencore into selling Optimum to Tegeta.<\/p>\n
